1. Acceptance of Terms

By accessing and using the Crewy web application (“App”), you agree to comply with and be bound by these Terms of Use (“Terms”). If you do not agree to these Terms, please do not use the App.

2. Description of Service

Crewy Inc. (“Company”) provides a web-based platform that connects film production crew members with job opportunities and each other (“Service”). Users can create profiles, search for jobs, and network with other professionals.

3. Eligibility

To use the App, you must be at least 18 years old and legally capable of entering into a binding agreement. By using the App, you represent and warrant that you meet these requirements.

4. User Accounts

4.1. Registration

You must register for an account to access certain features of the App. You agree to provide accurate, current, and complete information during the registration process and update such information to keep it accurate, current, and complete.

4.2. Account Security

You are responsible for maintaining the confidentiality of your account password and for all activities that occur under your account. You agree to notify Crewy Inc. immediately of any unauthorized use of your account.

5. Use of the App

5.1. License

Crewy Inc. grants you a limited, non-exclusive, non-transferable, revocable license to use the App for its intended purpose.

5.2. Prohibited Activities

You agree not to:

• Use the App for any illegal purpose or in violation of any local, state, national, or international law.
• Post any content that is defamatory, obscene, abusive, offensive, or otherwise violates any third party’s rights.
• Impersonate any person or entity or falsely state or otherwise misrepresent your affiliation with a person or entity.
• Interfere with or disrupt the App or servers or networks connected to the App.

6. Content

6.1. User Content

You retain ownership of all content you post on the App (“User Content”). By posting User Content, you grant Crewy Inc. a non-exclusive, worldwide, royalty-free, transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform the User Content in connection with the App and Crewy Inc.’s business.

6.2. Crewy Content

All content provided by Crewy Inc., including text, graphics, logos, and software, is the property of Crewy Inc. and is protected by copyright, trademark, and other intellectual property laws. You agree not to reproduce, distribute, or create derivative works based on Crewy Content without the express written consent of Crewy Inc.

7. Termination

Crewy Inc. reserves the right to terminate or suspend your account and access to the App at any time, with or without cause or notice, including if you violate these Terms.

8. Disclaimers

The App is provided on an “as-is” and “as-available” basis. Crewy Inc. makes no warranties, express or implied, regarding the App, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

9. Limitation of Liability

To the fullest extent permitted by law, Crewy Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from (a) your use or inability to use the App; (b) any unauthorized access to or use of our servers and/or any personal information stored therein; (c) any interruption or cessation of transmission to or from the App; (d) any bugs, viruses, trojan horses, or the like that may be transmitted to or through the App by any third party; or (e) any errors or omissions in any content or for any loss or damage incurred as a result of the use of any content posted, emailed, transmitted, or otherwise made available through the App.

10. Indemnification

You agree to indemnify and hold harmless Crewy Inc., its affiliates, officers, agents, employees, and partners from any claims, liabilities, damages, losses, and expenses, including without limitation reasonable attorney’s fees, arising out of or in any way connected with your use of the App or your violation of these Terms.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles.

12. Changes to Terms

Crewy Inc. reserves the right to modify these Terms at any time. We will notify you of any changes by posting the new Terms on the App. Your continued use of the App after such changes have been posted constitutes your acceptance of the new Terms.
